The board's role: Assure legal and ethical behavior and accountability

Under the Duty of Obedience, the board is ultimately accountable for legal compliance in the organization, yet the ethical standards should be in alignment with the value system of the members as owners.

There is a great deal of work for the board to determine what is the value system of this organization and to articulate what is ethical and not ethical in the eyes of the governing body. Assuring legal and ethical compliance implies that the board needs to define a clear system for communication and monitoring performance.
